Eddish Terms of Service
1. Agreement
These Terms of Service ("Terms") are a binding agreement between you and Devbox LLC, a Wyoming limited liability company ("Eddish", "we", "us"). They govern your use of the Eddish website at eddish.net, the Eddish web and mobile applications, the Eddish API and MCP server, and related services (together, the "Service").
By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you use the Service on behalf of a business or other organization, you confirm you are authorized to bind it, and "you" means that organization.
The Service is for business and professional use. You must be at least 18 years old to use it.
These Terms are effective as of October 29, 2026.
2. Definitions
- Account: the workspace that holds your organization's data, users, and subscription. Each Account uses one currency.
- Account Owner: the user who created the Account, or to whom ownership was transferred.
- Admin: a user the Account Owner has given administrative rights.
- User: any person invited to or using an Account, in any role (including Admin, Approver, Finance, Manager, or Member).
- Seat: a paid license for one User.
- Customer Data: everything you or your Users submit to the Service, including time entries, expenses, clients, projects, rates, invoices, attachments, and imported data.
- Paid Plan: any subscription you pay for, including add-ons such as Enterprise SSO.
- Free Tier: the no-cost plan with the usage limits shown on our pricing page.
3. Accounts and sign-in
You can sign up with Google, Microsoft, or an email address and password. You must give accurate information and keep it current.
You are responsible for keeping your credentials secure and for all activity under your login. We strongly recommend turning on multi-factor authentication. Tell us promptly at support@eddish.net if you suspect unauthorized access.
If your Account uses Enterprise SSO or SCIM provisioning, your identity provider controls who can sign in and which role they receive. You are responsible for configuring it correctly and for the access it grants. We are not responsible for losses caused by your identity provider's configuration or availability.
We may refuse, reclaim, or rename an Account name or subdomain that infringes others' rights or misleads users.
4. Accounts with multiple users
The Account Owner controls the Account. The Account Owner and Admins can invite and remove Users, assign roles, change what Users can see (including billing rates and financial totals), manage Seats, and export or delete Customer Data.
You are responsible for your Users' compliance with these Terms and for the roles and visibility you assign them. If a User leaves your organization, it is your responsibility to remove their access.
If the Account Owner is unavailable, we may transfer ownership to another Admin of the same Account after reasonable verification. We will not resolve ownership disputes between your personnel; we may freeze changes to the Account until you resolve them.
5. Plans, trials, and billing
Pricing. Current prices, Seat volume discounts, annual discounts, add-ons, and Free Tier limits are shown on our pricing page and in the app. Promotional codes apply only as stated when issued and have no cash value.
Free trial. New Accounts may receive a free trial of a Paid Plan for the period shown at signup. We may change or end trial offers and may limit one trial per person or organization.
Payment through Paddle. Paid Plans are sold by our reseller, Paddle.com, which acts as Merchant of Record. Paddle processes your payment, issues your receipts, and collects applicable sales tax, VAT, or GST. Your purchase is also subject to Paddle's Buyer Terms and refund policy. If Paddle's terms conflict with these Terms on a payment matter, Paddle's terms apply.
Renewal. Subscriptions renew automatically at the end of each monthly or annual term until cancelled. You can cancel anytime in the app; cancellation takes effect at the end of the current term, and you keep access until then.
Seats. Adding Seats or add-ons mid-term is charged pro rata. Removing them takes effect at the next renewal unless the app states otherwise.
Refunds. Fees are non-refundable except where required by law or where we choose to grant a refund, as set out in our Refund Policy. Refunds are issued through Paddle.
Price changes. We will give at least 30 days' notice of a price increase before it applies to your next renewal. If you don't agree, cancel before the renewal date.
Moving to the Free Tier. If a trial ends or a Paid Plan is cancelled or unpaid, your Account moves to the Free Tier. If your Account then exceeds Free Tier limits, you will need to archive or disable Users, clients, projects, or tasks until you are within limits, or upgrade. Archived data is kept, not deleted, and is restored when you upgrade.
Failed payments. If a payment fails, Paddle may retry it. If it remains unpaid after reasonable notice, we may move your Account to the Free Tier.
6. Your data
You own your Customer Data. We claim no ownership of it.
License to us. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Customer Data only as needed to provide, secure, and support the Service, and as you direct (for example, emailing an invoice to your client). This license ends when the data is deleted from our systems.
Your responsibilities. You confirm you have the rights and any required consents to submit Customer Data, including personal data about your clients and Users. You are responsible for its accuracy and lawfulness.
Export. You can export your Customer Data at any time while your Account is active, including on the Free Tier, using the export features in the app or the API.
Aggregated data. We may use de-identified, aggregated usage data that does not identify you, your Users, or your clients to operate and improve the Service.
No sale, no training. We do not sell Customer Data, and we do not use it to train AI models.
7. Acceptable use
You and your Users must not:
- break any law, or use the Service to issue fraudulent, misleading, or fictitious invoices or records;
- upload malware, or content that infringes others' rights or is unlawful;
- access another Account's data, or try to bypass security, authentication, rate limits, or plan limits;
- probe, scan, or load-test the Service without our written permission;
- scrape the Service or access it by automated means other than the API and MCP server;
- resell, sublicense, or provide the Service to third parties as a service bureau, except for invoices and reports you send to your own clients;
- copy or reverse engineer the Service to build a competing product;
- share one Seat between several people.
We may remove content or restrict access that we reasonably believe breaks this section.
8. API, MCP server, and third-party services
API and MCP server. You may use the Eddish API and MCP server to access your own Account's data, subject to these Terms, our API documentation, and published rate limits. API keys and tokens are credentials: keep them secret, and you are responsible for anything done with them. We may change, version, or deprecate API endpoints, giving reasonable notice of breaking changes where practical.
AI assistants and agents. If you connect an AI assistant or agent to your Account through the MCP server or API, it acts on your behalf with the permissions you grant. You are responsible for its actions, including any data it creates, changes, sends, or deletes.
Third-party services. The Service works with services we don't control, such as Google and Microsoft sign-in, your identity provider, Paddle, and email delivery. Your use of them is governed by their own terms, and we are not responsible for them.
Imports. When you import data from another service, such as Harvest, you authorize us to retrieve it with the credentials you supply, and you confirm you have the right to do so. We do not guarantee that every record or field will import, and you should check imported data for accuracy. We use import credentials only for the import you start and do not keep them afterward.
9. Your invoices and records; no professional advice
The Service is a tool. You are solely responsible for the invoices, estimates, timesheets, and expense records you create and send, including their amounts, tax treatment, currency, legal content, numbering, and delivery to your clients.
Totals, tax calculations, reports, and templates are provided for convenience. Check them before you rely on them. Nothing in the Service is financial, investment, legal, accounting, or tax advice; consult a qualified professional for that.
You are responsible for keeping records for as long as the law requires you to. Export copies if you need them beyond your use of the Service.
We are not a party to any agreement between you and your clients, and we are not responsible for collecting payment from them.
10. Privacy and security
Our Privacy Policy explains how we collect and use personal data about you and your Users. For personal data inside Customer Data, such as your clients' contact details, you are the controller and we process it on your behalf to provide the Service.
We use reasonable technical and organizational measures to protect Customer Data, including encryption in transit, access controls, and tenant isolation. No system is perfectly secure. If we become aware of a breach affecting your Customer Data, we will notify you without undue delay.
We use subprocessors to run the Service, such as hosting, email delivery, payments, and support providers. We list them in our Privacy Policy and will update the list when it changes.
11. Our intellectual property; feedback
The Service, including its software, design, branding, documentation, and the Eddish name and logo, belongs to us and our licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription. We reserve all rights not expressly granted.
If you send us ideas, suggestions, or feature requests, including through our feedback board, we may use them freely without obligation to you.
12. Availability, support, and changes
We work to keep the Service available but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance and will try to give advance notice of planned downtime.
Support is provided through our help center and feedback board on a reasonable-efforts basis. We do not commit to response times unless we agree to them in writing.
We may add, change, or remove features. If we remove a material feature of a Paid Plan you are paying for, we will give reasonable notice, and if you cancel because of it, we will refund the unused portion of your prepaid fees.
The Service is available in English, Spanish, and French. If a translation of these Terms conflicts with the English version, the English version controls.
13. Suspension and termination
By you. You can cancel a Paid Plan at any time (section 5) and delete your Account from Settings. Deleting your Account is permanent.
Suspension by us. We may suspend access, in whole or in part, if we reasonably believe you are breaking these Terms, your use threatens the security or stability of the Service or others, or we are required to by law. Where practical, we will notify you first and give you a chance to fix the problem.
Termination by us. We may terminate these Terms and your Account for a material breach not fixed within 15 days of notice, immediately for serious or repeated breaches, or for any reason with 60 days' notice. If we terminate without cause, we will refund prepaid fees for the unused period.
Your data afterward. If we terminate your Account, you have 30 days to request an export, unless termination was for unlawful use. If you delete your Account, export first; we remove your data from the Service immediately. In either case we then delete Customer Data within 30 days, except copies we must keep by law and routine backups, which are deleted on their normal cycle.
Survival. Sections 6 (license limits), 9, 11, and 14 to 18 survive termination.
14. Disclaimers
TO THE EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CALCULATIONS, IMPORTS, OR EXPORTS WILL BE ACCURATE OR COMPLETE.
The Free Tier and free trials are provided without any commitment of availability or support.
15. Limitation of liability
TO THE EXTENT PERMITTED BY LAW:
- NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY.
- OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100.
- THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS, YOUR INDEMNITY OBLIGATIONS, OR YOUR BREACH OF SECTION 7.
Some jurisdictions do not allow certain exclusions or limits, so some of the above may not apply to you.
16. Indemnification
You will defend and indemnify us, our members, and our contractors against third-party claims, and the resulting losses and reasonable legal fees, arising from your Customer Data, your invoices and dealings with your clients, or your or your Users' breach of these Terms or the law.
We will defend you against third-party claims that the Service, as we provide it, infringes their intellectual property, and pay resulting damages awarded or agreed in settlement. This does not apply to claims caused by Customer Data, your modifications, or combination with things we didn't provide. If such a claim arises, we may modify the Service, get you a license, or end your subscription and refund prepaid fees for the unused period.
The party seeking defense must notify the other promptly, give it control of the defense, and reasonably cooperate.
17. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
Before filing a claim, each party agrees to try to resolve the dispute informally by written notice to the other, for at least 30 days.
Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in Wyoming, and both parties consent to their jurisdiction. Either party may seek urgent injunctive relief in any competent court, and either party may bring an eligible claim in small-claims court.
Nothing in these Terms removes rights you have under mandatory law where you are located.
18. Changes to these Terms; general
Changes. We may update these Terms; the current version is always at eddish.net/legal/terms. For material changes, we will give at least 30 days' notice by email or in the app before they take effect. If you keep using the Service after that, you accept the updated Terms. If you don't agree, cancel before they take effect, and we will refund prepaid fees for the unused period.
Entire agreement. These Terms, together with the Privacy Policy and any order or add-on terms shown at purchase, are the entire agreement between us about the Service.
Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of our business or assets, with notice to you.
Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, except for payment obligations.
Severability and waiver. If a provision is unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver of it.
Notices. We send notices to the Account Owner's email address. You send legal notices to legal@eddish.net or by mail to Devbox LLC, 30 N Gould St #44071, Sheridan, WY 82801, USA.
